Sponsor & Vendor Terms

These Sponsor & Vendor Terms (“Commercial Terms”) govern sponsorships, vendor participation, activations, promotional opportunities, demonstrations, displays, commercial add-ons, and related business purchases offered by The Pipeline Life, LLC, doing business as Pipeliners Tour.

These Commercial Terms apply whether participation is purchased:

  • through PipelinersTour.com;
  • through an invoice;
  • through an online checkout;
  • through a sponsorship agreement;
  • through a vendor application;
  • through email;
  • through a proposal; or
  • by another method accepted by Pipeliners Tour.

By submitting payment, signing an agreement, accepting a proposal, or participating in an event, the sponsor or vendor (“Participant”) agrees to these Commercial Terms.

1. This Isn’t Booth Space at a Trade Show

Pipeliners Tour is a rally-style industry event and media platform built around real interaction between crews, contractors, suppliers, manufacturers, industry leadership, and companies serving the trades.

Sponsor and vendor opportunities may include:

  • brand visibility;
  • event presence;
  • demonstrations;
  • equipment displays;
  • product interaction;
  • competitions;
  • crew experiences;
  • hospitality areas;
  • signage;
  • social media;
  • video content;
  • giveaways;
  • product placement;
  • naming rights;
  • lead-generation opportunities;
  • merchandise;
  • digital promotion; and
  • other customized activations.

Specific deliverables depend on the package purchased.

2. Acceptance of Sponsors & Vendors

Submitting an application or requesting participation does not guarantee acceptance.

Pipeliners Tour reserves the right to accept or decline any prospective sponsor, vendor, activation, product, or display.

We may consider:

  • available space;
  • category conflicts;
  • existing exclusivity agreements;
  • event fit;
  • safety;
  • reputation;
  • product relevance;
  • logistics;
  • venue limitations; and
  • overall attendee experience.

If we decline an applicant before accepting payment, no fee is due.

3. Payment & Reservation

Unless otherwise stated in writing, sponsorship or vendor inventory is not considered fully reserved until required payment has been received.

A proposal, email conversation, verbal conversation, or tentative hold does not guarantee availability.

First paid and approved takes the spot.

Where installment payments are approved, the payment schedule stated on the invoice or agreement controls.

Failure to make a required payment may result in:

  • release of the sponsorship;
  • release of vendor space;
  • cancellation of an activation;
  • removal of promotional benefits; or
  • cancellation of participation.

4. Sponsorship & Vendor Payments Are Generally Non-Refundable

Sponsor and vendor payments are generally non-refundable once accepted because Pipeliners Tour begins committing resources based on participation.

Those commitments may include:

  • marketing;
  • graphic design;
  • social media;
  • printing;
  • signage;
  • production;
  • venue space;
  • category inventory;
  • staffing;
  • equipment;
  • merchandise;
  • crew bags;
  • hospitality;
  • advertising;
  • content production;
  • event logistics; and
  • turning away competing sponsors.

A Participant’s inability to attend does not automatically cancel the sponsorship or create a refund right.

5. Sponsor/Vendor Cancellation

If a Participant cancels after acceptance, amounts already paid are generally non-refundable.

Any unpaid contractual balance may remain due when Pipeliners Tour has already:

  • delivered promotional benefits;
  • incurred expenses;
  • ordered custom products;
  • reserved exclusive inventory;
  • declined competing business;
  • produced content or graphics; or
  • otherwise materially begun fulfilling the agreement.

Pipeliners Tour may, at its discretion, allow funds to be credited toward another event or future opportunity.

Any such credit must be confirmed in writing.

6. Pipeliners Tour Cancellation

If Pipeliners Tour cancels an entire event and does not reschedule it, we will work with affected sponsors and vendors to determine an appropriate resolution based on the benefits already delivered.

Possible resolutions may include:

  • transfer to another Tour stop;
  • credit toward another opportunity;
  • substitute digital or media deliverables;
  • modified sponsorship benefits; or
  • refund of an appropriate portion of amounts paid for benefits not delivered.

Benefits already completed—including advertising, social posts, content, announcements, graphic design, email exposure, or other delivered promotional value—may be considered when determining any refund or credit.

7. Event Postponement or Relocation

A postponement, reasonable relocation, date modification, or venue change does not automatically cancel a sponsorship or vendor agreement.

The agreement will generally transfer to the rescheduled or relocated event.

Pipeliners Tour will make reasonable efforts to preserve the Participant’s purchased benefits.

8. Weather

Events may be held rain or shine.

Weather conditions may require modification of:

  • displays;
  • demonstrations;
  • event layout;
  • signage;
  • outdoor activations;
  • equipment operation;
  • schedules; or
  • event hours.

A weather-related modification does not automatically qualify a Participant for a refund.

Safety decisions made by Pipeliners Tour, the venue, emergency personnel, or equipment operators are final.

9. Category Exclusivity

Exclusivity exists only when expressly stated in writing.

A Participant should not assume category exclusivity merely because it is the only company in its category at the time of purchase.

If exclusivity has been purchased, Pipeliners Tour will make reasonable efforts to protect the defined category described in the applicable agreement.

Exclusivity does not necessarily prevent:

  • attendees from wearing or using competitor products;
  • other vendors from carrying incidental competing products;
  • companies operating in an adjacent category;
  • editorial media coverage of another company; or
  • pre-existing venue relationships,

unless the written agreement specifically states otherwise.

10. Sponsor Deliverables

Deliverables may include items such as:

  • logos;
  • signage;
  • social media mentions;
  • announcements;
  • email exposure;
  • digital placement;
  • event credentials;
  • hospitality;
  • product integration;
  • display areas;
  • demonstrations;
  • category naming rights;
  • content production;
  • attendee interaction; or
  • other benefits.

Only deliverables expressly included in the applicable package, invoice, proposal, or written agreement are guaranteed.

11. Sponsor Return on Investment

Pipeliners Tour creates opportunities for genuine interaction with attendees, contractors, crews, suppliers, decision-makers, and the broader pipeline community.

However, we do not guarantee a specific number of leads, sales, contracts, impressions, customers, followers, hires, purchases, or other business results.

Sponsor value comes from the purchased exposure, access, activation, content, and event experience—not a guaranteed commercial outcome.

12. Attendance Is Not Guaranteed

Pipeliners Tour may provide estimates, previous attendance information, audience metrics, social media metrics, or anticipated turnout.

Unless expressly guaranteed in a signed agreement, these numbers are estimates or historical information and are not attendance guarantees.

Actual attendance may be affected by:

  • pipeline layoffs;
  • project schedules;
  • crew relocation;
  • weather;
  • competing work schedules;
  • regional industry activity;
  • travel;
  • economic conditions; or
  • circumstances outside our control.

13. Sponsor & Vendor Staffing

Participants are responsible for providing enough qualified personnel to operate their display or activation unless staffing is expressly included in the sponsorship package.

Participant personnel must:

  • behave professionally;
  • follow event rules;
  • follow safety requirements;
  • stay within authorized areas;
  • comply with venue requirements; and
  • follow instructions from event staff.

14. Setup & Teardown

Participants must comply with announced:

  • arrival times;
  • load-in procedures;
  • setup deadlines;
  • parking instructions;
  • teardown schedules; and
  • equipment access rules.

Early teardown may be prohibited unless approved by Pipeliners Tour.

A Participant arriving late may lose access to certain setup areas or activation opportunities.

15. Display Space

Vendor or sponsor footprint size, location, access, electricity, tables, tents, equipment access, and other physical requirements are determined by the purchased package and event plan.

Pipeliners Tour may adjust booth or activation placement when needed for:

  • safety;
  • crowd flow;
  • venue requirements;
  • equipment access;
  • emergency routes;
  • weather;
  • power requirements; or
  • overall event operations.

Specific placement is not guaranteed unless expressly stated in writing.

16. Tents, Equipment & Displays

Participants are responsible for ensuring that their displays are safe and properly secured.

Outdoor tents may require:

  • approved weights;
  • stakes where allowed;
  • fire-resistant materials;
  • fire extinguishers;
  • safety barriers; or
  • other venue requirements.

Unsafe displays may be modified or removed.

17. Equipment Demonstrations

Heavy equipment, welding, tools, vehicles, machinery, coatings, or other demonstrations must be approved in advance when required by Pipeliners Tour.

Demonstrations may require:

  • qualified operators;
  • safety barriers;
  • spotters;
  • PPE;
  • certificates of insurance;
  • fire protection;
  • ventilation;
  • SDS documentation;
  • permits; or
  • venue approval.

Pipeliners Tour may stop any demonstration that it reasonably believes creates an unsafe condition.

18. Vehicles

Vehicles brought onto event grounds must follow designated routes and event staff instructions.

Vehicles may not be driven through active attendee areas without authorization.

Display vehicles, welding rigs, work trucks, trailers, and equipment may be subject to additional rules.

19. Insurance

Pipeliners Tour may require Participants to provide proof of commercial general liability insurance or other coverage appropriate for their activity.

Additional insured status may be required for certain sponsors, vendors, equipment operators, food vendors, contractors, or demonstrations.

Failure to provide required insurance may result in cancellation of the applicable activity without refund.

20. Permits & Licenses

Participants are responsible for obtaining permits, licenses, registrations, or certifications required for their operations.

This may include requirements involving:

  • food service;
  • alcohol;
  • sales tax;
  • equipment operation;
  • raffles or promotions;
  • professional services;
  • regulated products; or
  • demonstrations.

21. Food & Beverage

Food and beverage vendors must meet applicable licensing, health, insurance, and venue requirements.

The venue may have exclusive food, alcohol, or catering rights.

Participants may not distribute food or beverages where prohibited by the venue or event agreement.

22. Giveaways & Promotions

Sponsors and vendors are encouraged to create experiences attendees actually want to participate in.

Participant-run giveaways, contests, drawings, or promotions must comply with applicable law.

The Participant is responsible for official rules and legal compliance for promotions it independently sponsors unless Pipeliners Tour agrees otherwise in writing.

Pipeliners Tour may require approval before a Participant announces or conducts a promotion using the Pipeliners Tour name.

23. Selling Products

Vendors authorized to sell merchandise, products, or services are responsible for:

  • their own payment processing;
  • taxes;
  • customer receipts;
  • licenses;
  • product warranties;
  • returns;
  • inventory; and
  • legal compliance.

Pipeliners Tour is not a party to transactions between an attendee and an independent vendor.

24. Restricted Products & Conduct

Participants may not display, promote, sell, distribute, or conduct activities that are:

  • illegal;
  • counterfeit;
  • fraudulent;
  • dangerous;
  • discriminatory;
  • obscene in the context of the event;
  • materially misleading; or
  • inconsistent with venue restrictions.

Pipeliners Tour may require removal of inappropriate products or materials.

25. Logos & Brand Assets

Participants grant Pipeliners Tour a limited, non-exclusive license to use submitted:

  • company names;
  • logos;
  • trademarks;
  • product images; and
  • approved marketing assets

for purposes of promoting the Participant’s involvement in the applicable event or sponsorship.

The Participant represents that it has the authority to provide these materials.

26. Pipeliners Tour Branding

Participation does not transfer ownership of Pipeliners Tour or The Pipeline Life intellectual property.

Sponsors and vendors may use approved event graphics or partnership language solely as authorized.

Participants may not represent themselves as:

  • an owner of Pipeliners Tour;
  • an exclusive partner unless expressly designated;
  • an “Official” category partner unless awarded that designation; or
  • an agent or representative of The Pipeline Life, LLC.

27. Content, Photography & Video

Pipeliners Tour may photograph and record:

  • displays;
  • sponsor activations;
  • vendor booths;
  • products;
  • demonstrations;
  • personnel;
  • signage;
  • equipment; and
  • activities.

Participant grants Pipeliners Tour permission to use such event-related content for legitimate editorial, promotional, advertising, social media, event-recap, and marketing purposes.

Participant personnel should be informed that events are actively photographed and filmed.

28. Participant Content

If a Participant provides photos, videos, advertisements, copy, testimonials, or other marketing material, the Participant represents that it has the rights necessary for Pipeliners Tour to use those materials for the agreed purpose.

29. No-Shows

A sponsor or vendor that does not attend after committing to an event is not entitled to a refund solely because it failed to attend.

Pipeliners Tour may still provide reasonable promotional benefits that can be delivered without the Participant’s physical presence, where practical.

30. Removal

Pipeliners Tour may remove a Participant or its personnel for:

  • unsafe conduct;
  • harassment;
  • intoxication;
  • illegal activity;
  • repeated failure to follow staff instructions;
  • material violation of venue rules; or
  • material breach of these Commercial Terms.

Removal for cause does not automatically entitle the Participant to a refund.

31. Property & Security

Participants are responsible for their own:

  • merchandise;
  • tools;
  • displays;
  • equipment;
  • electronics;
  • cash;
  • vehicles; and
  • other property.

Pipeliners Tour is not responsible for theft, loss, or damage except to the extent liability cannot lawfully be excluded.

Participants should secure valuable items and maintain appropriate insurance.

32. Indemnification

To the fullest extent permitted by law, Participant agrees to indemnify and hold harmless The Pipeline Life, LLC and its owners, employees, contractors, and agents from third-party claims, damages, liabilities, or reasonable expenses arising from:

  • Participant’s products or services;
  • Participant’s negligent or wrongful acts;
  • Participant’s employees or contractors;
  • Participant’s equipment or display;
  • intellectual-property infringement caused by Participant-provided materials; or
  • Participant’s violation of applicable law.

This provision does not require Participant to indemnify Pipeliners Tour for liability caused solely by Pipeliners Tour’s own conduct where such indemnification would be prohibited by law.

33. Limitation of Liability

To the fullest extent permitted by law, Pipeliners Tour will not be responsible for indirect, special, incidental, consequential, exemplary, or lost-profit damages arising from sponsorship or vendor participation.

Except where prohibited by law or superseded by a separate signed agreement, Pipeliners Tour’s aggregate contractual liability relating to a particular sponsorship or vendor purchase will not exceed the amount actually paid to Pipeliners Tour for that specific opportunity.

34. Force Majeure

Pipeliners Tour will not be considered in breach for delays, modifications, or failures caused by events reasonably outside its control, including:

  • severe weather;
  • natural disasters;
  • fire;
  • flood;
  • venue closure;
  • government action;
  • public-safety emergencies;
  • transportation interruptions;
  • utility failures;
  • labor disruptions;
  • terrorism;
  • war;
  • civil unrest;
  • epidemic or pandemic conditions; or
  • similar circumstances.

Pipeliners Tour may reasonably modify, postpone, relocate, or reschedule affected obligations.

35. Independent Businesses

Sponsors and vendors are independent businesses.

Nothing in these Commercial Terms creates an:

  • employment relationship;
  • partnership;
  • joint venture;
  • agency relationship; or
  • franchise relationship

between the Participant and The Pipeline Life, LLC.

36. Separate Agreements

A Participant may also have:

  • a signed sponsorship agreement;
  • vendor agreement;
  • proposal;
  • invoice;
  • activation agreement; or
  • other written contract.

If a separately signed written agreement expressly conflicts with these Commercial Terms, the signed agreement controls regarding that conflict.

37. Governing Law

These Commercial Terms are governed by the laws of the State of Missouri, except where another law must apply.

Disputes will be handled in a court having proper jurisdiction and venue unless the parties have separately agreed in writing to another dispute-resolution process.

38. Changes

Pipeliners Tour may update these Commercial Terms from time to time.

Changes will apply prospectively and will not retroactively alter the material terms of an already signed agreement unless both parties agree or applicable law requires otherwise.
